An LLC seal is not usually required by law, and that surprises people who have just been asked for one. What actually happens is that a bank, a title company, a landlord or a counterparty asks for the entity’s seal on a resolution, a certificate or a lease, and the entity does not have one. The mark exists to say that the document was issued by the company rather than by the person holding the pen.

Questions
Is an LLC required to have a seal?
In most US states, no: an LLC can act without one, and many never have one. Seals are required or expected by particular counterparties and for particular documents rather than across the board, which is why the request usually arrives suddenly. Where a state, a lender or a registry does require a specific form, that requirement is theirs and is worth checking with them.
What goes on an LLC seal?
The registered name including the LLC suffix, the state of formation, and usually the year of formation. Some include the formation number. Copy the articles of organization exactly.
What about a Ltd company stamp?
The same idea with the local convention: registered name including Ltd or Limited, company registration number, and often the registered office town. In the UK a company can execute documents without a seal, and the stamp is used because counterparties ask for it.
Can I use it on bank documents?
Banks vary, and some want a wet impression on their own form. Ask the specific institution before you rely on an electronic mark for account opening or a resolution they will keep on file.
Can I add a serial number to a resolution?
Yes. Turn the serial on and each use takes the next number, which is what makes a run of resolutions or certificates traceable.
