In India a company stamp is expected on share certificates, board resolutions and most commercial paperwork, and note that "e-stamping" means something entirely different: paying stamp duty electronically.
Two things are worth separating before anything else, because searches for them collide constantly. A company stamp or rubber seal is a mark identifying the company. E-stamping is the electronic payment of stamp duty through a government portal, producing a duty certificate. They are unrelated, and no stamp maker can do the second.
What a company stamp in India usually carries
- The registered company name as shown on the certificate of incorporation.
- The Corporate Identity Number, the 21-character CIN.
- Often the registered office address on a rectangular address stamp.
- On authorised-signatory stamps, the name and designation with a signature line.
Why make it digitally
- Share certificates and board resolutions conventionally carry the common seal where the articles require it.
- Authorised signatory stamps are used heavily on invoices and GST paperwork, and the wording changes whenever the signatory does.
- A digital stamp is re-editable, where a cut rubber stamp has to be replaced when a director changes.
Questions
Is a common seal mandatory for an Indian company?
The Companies (Amendment) Act 2015 made the common seal optional rather than mandatory. Where a company has one, its articles usually govern its use, particularly on share certificates. Where it does not, documents are executed by authorised signatories instead.
Is this the same as e-stamping?
No, and the distinction matters. E-stamping is paying stamp duty electronically through a government portal and produces a duty certificate. This makes a stamp image. Nothing here pays duty or evidences payment of it.
What goes on an authorised signatory stamp?
Typically the company name, the words "Authorised Signatory", and a line for the signature. Many also carry the signatory name and designation, which is why they need replacing when people change.
