Company seal maker for Singapore
Singapore removed the common seal requirement in 2017, so a company can execute documents by signature alone, though many keep a stamp carrying the name and UEN for everyday paperwork.
The Companies (Amendment) Act 2017 was the turning point: a Singapore company no longer needs a common seal, and documents including deeds can be executed by authorised signatories instead. What survives is the everyday stamp, used on invoices, forms and letters to identify the company rather than to execute anything.
What a company stamp in Singapore usually carries
- The company name exactly as registered with ACRA.
- The Unique Entity Number, the UEN, which is the identifier everyone checks.
- Sometimes the registered address on a rectangular office stamp.
- On a traditional common seal, the words "Common Seal" around the ring.
Why make it digitally
- Singapore paperwork is overwhelmingly digital, and a stamp that only exists in rubber is a stamp that has to be printed and scanned.
- Companies trading into Indonesia, Malaysia, China or the Gulf are regularly asked for a stamp even though Singapore law does not require one.
- The registered address changes more often than the name, and an edit is free where a new die is not.
Questions
Does a Singapore company still need a common seal?
No. Since the Companies (Amendment) Act 2017 a company may execute documents, including deeds, without one. Check the constitution though: it may still provide for a seal and specify who may apply it.
What is a UEN and does it go on the stamp?
The Unique Entity Number is the single identifier ACRA issues to every registered entity. It is not required on a stamp, but it is the thing counterparties look up, so it is worth including.
Why do companies still keep one?
Mostly for counterparties elsewhere in Asia and the Gulf, where a stamp is expected, and for internal paperwork where a mark is faster than a signature block.
