Company seal maker for Ireland
Ireland is the outlier: the Companies Act 2014 still requires an Irish company to have a common seal, where most comparable jurisdictions made it optional.
Almost every country in this list has been moving the same way, from a required seal to an optional one. Ireland went the other way and kept the requirement. Section 43 of the Companies Act 2014 obliges a company to have a common seal with its name engraved on it, which makes this one of the few places where the answer to "do I need one" is simply yes.
What a company stamp in Ireland usually carries
- The company name engraved on it, which is what the Act specifically requires.
- The CRO number, the registration number issued by the Companies Registration Office.
- Often the year of incorporation in the centre.
- A second seal for share certificates is permitted where the constitution allows it.
Why make it digitally
- Sealed documents increasingly exist only as PDFs, and an embossed seal does not scan.
- The name has to match the register exactly, and it changes on a name-change filing.
- A company formed abroad but trading in Ireland is regularly asked for one.
Questions
Does an Irish company have to have a common seal?
Yes. Section 43 of the Companies Act 2014 requires a company to have a common seal with its name engraved in legible characters. That is unusual: the UK, Australia, Singapore, South Africa and Nigeria have all moved the other way.
What has to be engraved on it?
The company name, in legible characters, as registered. Most seals also carry the CRO number and the year, though the Act is specific only about the name.
Who applies the seal?
Your constitution decides. It commonly requires a director and the secretary, or two directors, to countersign the sealing, and the sealing is usually recorded in a register.
This describes common commercial practice rather than giving legal advice, and practice changes. Where a specific document matters, check the requirement with the body receiving it.
